1. Acceptance of Terms

By accessing or using MultiPerspect ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part, you may not access the Service.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and MultiPerspect ("Company," "we," "us," or "our"). Please read them carefully.

IMPORTANT: These Terms contain an arbitration agreement and class action waiver (Section 11) that affect your legal rights. Please read them carefully.

2. Description of Service

MultiPerspect is an ethical intelligence development platform that provides AI-powered decision analysis, cognitive training tools, and personalized Ethical Intelligence Reports.

Important Disclaimer: The Service is designed for personal development and educational purposes only. It is NOT a substitute for professional advice—including legal, medical, financial, therapeutic, psychological, or any other professional counsel. You should always consult qualified professionals for important decisions affecting your health, finances, legal matters, or relationships.

AI Limitations: Our AI-generated insights are produced by machine learning algorithms that may produce errors, inaccuracies, biases, or incomplete information. AI outputs should be viewed as one perspective among many, not as definitive guidance. You acknowledge that you are solely responsible for any decisions you make based on information from our platform.

3. User Accounts

Account security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use at security@multiperspect.com.

Age requirement: You must be at least 18 years old to use this Service. By creating an account, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

Account accuracy: You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

One account per person: Each user may maintain only one account. Creating multiple accounts to circumvent restrictions or abuse the Service is prohibited.

4. Acceptable Use

You agree NOT to use the Service to:

• Submit content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or violates others' rights
• Impersonate any person or entity or misrepresent your affiliation
• Attempt to circumvent security measures, gain unauthorized access, or probe system vulnerabilities
• Interfere with other users' access or the Service's operation
• Use automated systems, bots, scrapers, or data mining tools without our express written permission
• Reverse engineer, decompile, disassemble, or attempt to derive source code from our software or AI systems
• Use the Service to develop competing products or services
• Resell, sublicense, or commercially exploit the Service without authorization
• Use the Service in any way that violates applicable laws or regulations

We reserve the right to suspend or terminate accounts that violate these Terms, at our sole discretion, with or without notice.

5. Intellectual Property & License Grant

Your content ownership: You retain full ownership of all content you submit (decisions, reflections, notes, and other user-generated content). We do not claim ownership of your content.

License grant to us: By submitting content, you grant MultiPerspect a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to use, process, analyze, store, reproduce, modify, and display your content solely for:

• Providing the Service to you (generating reports, tracking progress)
• Improving and developing the Service
• Training and improving our proprietary AI models using anonymized, aggregated data
• Research, analytics, and development of new features
• Sharing anonymized, non-identifiable data with vetted research partners for AI safety and academic research (see Privacy Policy §5 for details)
• Complying with legal obligations

AI-generated outputs: You own any outputs generated by our AI specifically for you (your Ethical Intelligence Reports). However, we retain ownership of the underlying algorithms, methodologies, and general insights that may be derived from aggregated user data.

Our intellectual property: The MultiPerspect platform—including its design, user interface, features, algorithms, AI systems, methodologies, branding, logos, and all related intellectual property—is owned by MultiPerspect and protected by copyright, trademark, patent, and other intellectual property laws.

You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works based on any part of our Service or software without our express written permission.

6. Third-Party AI Services

Our Service utilizes third-party AI providers (including OpenAI and Anthropic) to process your content and generate insights. By using our Service, you acknowledge that:

• Your content will be transmitted to and processed by these third-party AI services
• These providers operate under data processing agreements that prohibit them from using your data for their own training purposes
• We may change AI providers at our discretion to improve service quality
• Third-party AI outputs may contain errors, biases, or inaccuracies

Third-party IP disclaimer: AI systems are trained on publicly available data, which may include copyrighted material. While we take reasonable steps to ensure our outputs do not infringe third-party rights, we cannot guarantee that all AI-generated content is free from potential IP claims. You are responsible for reviewing outputs before use in any context where IP rights may be relevant.

7. Subscription and Payment

Free trial: We offer a 14-day free trial. No credit card is required to start. At the end of your trial, you must subscribe to continue accessing the Service.

Billing: Paid subscriptions are billed monthly in advance via our payment processor (Stripe). You authorize us to charge your payment method on a recurring basis until you cancel.

Cancellation: You may cancel at any time through your account settings. Cancellation takes effect at the end of your current billing period, and you will retain access until then. No partial refunds are provided for unused portions of a billing period.

30-day money-back guarantee: If you're not satisfied within 30 days of your first paid subscription, contact us at support@multiperspect.com for a full refund. This guarantee applies only to your first subscription period and is limited to one refund per customer.

Price changes: We may change subscription prices with at least 30 days' advance notice. Price changes will take effect at the start of your next billing cycle following the notice period.

Taxes: All prices are exclusive of applicable taxes. You are responsible for any taxes associated with your subscription.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, OR COURSE OF PERFORMANCE.

WE DO NOT WARRANT THAT: (A) THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS OR INSIGHTS OBTAINED FROM THE SERVICE WILL BE ACCURATE, RELIABLE, OR COMPLETE; (D) ANY ERRORS IN THE SERVICE WILL BE CORRECTED; OR (E) THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

AI-SPECIFIC DISCLAIMER: AI-GENERATED CONTENT MAY CONTAIN ERRORS, BIASES, HALLUCINATIONS, OR INACCURACIES. THE SERVICE IS NOT A SUBSTITUTE FOR PROFESSIONAL JUDGMENT. YOU ACKNOWLEDGE THAT ANY RELIANCE ON AI-GENERATED INSIGHTS IS AT YOUR OWN RISK.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MULTIPERSPECT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:

• Loss of profits, revenue, data, use, goodwill, or other intangible losses
• Cost of procuring substitute services
• Any decisions you make based on information from the Service
• Unauthorized access to or alteration of your data
• Statements or conduct of any third party on the Service
• Any other matter relating to the Service

LIABILITY CAP: IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100 USD).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.

10. Indemnification

You agree to defend, indemnify, and hold harmless MultiPerspect and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, actions, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of or access to the Service
• Your violation of these Terms
• Your violation of any third-party right, including intellectual property, privacy, or publicity rights
• Your content or any content you submit to the Service
• Any claim that your content caused damage to a third party
• Your violation of any applicable law or regulation

We reserve the right, at our own expense, to assume exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense.

11. Dispute Resolution & Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Informal resolution first: Before initiating any formal dispute resolution, you agree to contact us at legal@multiperspect.com with a written description of your claim. We will attempt to resolve the dispute informally within 60 days. Most disputes can be resolved this way.

Binding arbitration: If we cannot resolve the dispute informally, you and MultiPerspect agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules, or by JAMS under its Comprehensive Arbitration Rules if AAA is unavailable. The arbitration shall be conducted in English in the state where you reside (or another mutually agreed location), and the arbitrator's decision shall be final and binding.

Jury trial waiver: BY AGREEING TO ARBITRATION, YOU AND MULTIPERSPECT ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY.

Class action waiver: YOU AND MULTIPERSPECT AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

30-day opt-out: You have the right to opt out of this arbitration agreement by sending written notice of your decision to opt out to legal@multiperspect.com within 30 days of first agreeing to these Terms. Your notice must include your name, address, email, and a clear statement that you wish to opt out. If you opt out, you may pursue claims in court.

Small claims exception: Either party may bring an individual action in small claims court for disputes within that court's jurisdiction.

Injunctive relief: Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. To the extent that any lawsuit or court proceeding is permitted under these Terms, you and MultiPerspect agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Delaware.

13. Force Majeure

MultiPerspect shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, riots, civil unrest, government actions or orders, labor disputes, pandemics, power failures, internet or telecommunications failures, cyberattacks, or third-party service provider failures.

14. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid, illegal, or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent as closely as possible.

15. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by MultiPerspect.

16. Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction. Any attempted assignment in violation of this section shall be void.

17. Changes to Terms

We may update these Terms periodically. For material changes, we will notify you via email and prominent notice on our platform at least 30 days before changes take effect. The "Last updated" date at the top indicates when the Terms were last revised. Continued use after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and may request deletion of your account.

18. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published on the Service, constitute the entire agreement between you and MultiPerspect regarding the Service and supersede all prior agreements, understandings, negotiations, and communications, whether written or oral.
